If no validity period is stated, availability and pricing remain subject to confirmation when the customer accepts the quotation.Volume pricing, promotional pricing and individually negotiated commercial conditions apply only to the transaction, quantities and period for which they were offered unless expressly agreed otherwise. 6. VAT AND INTRA-COMMUNITY SUPPLIESVAT will be applied in accordance with applicable Spanish and European Union tax law.A supply to a customer in another EU Member State may qualify for VAT exemption as an intra-Community supply only where the applicable legal requirements are satisfied.This may include, among other requirements, the customer acting as a qualifying business or professional, providing AesthiSave Spain with a valid VAT identification number issued by an EU Member State other than Spain, and the goods being dispatched or transported from Spain to another EU Member State under conditions allowing the exemption to be substantiated.Possession of, or validation of, a VAT number in VIES does not by itself guarantee VAT-exempt treatment.AesthiSave Spain may request evidence necessary to substantiate the transaction, including company, VAT, billing, delivery and transport documentation.If the legal requirements for VAT exemption are not met or cannot be sufficiently substantiated, AesthiSave Spain may charge the VAT required by law.If information supplied by the customer is incorrect, incomplete or subsequently found not to support the VAT treatment applied, the customer remains responsible for cooperating in the correction of the transaction and, where legally applicable, payment of the corresponding VAT. 7. PAYMENTUnless expressly agreed otherwise in writing, full payment is required before dispatch.Accepted payment methods are those displayed at checkout or otherwise expressly offered by AesthiSave Spain.Payment is subject to authorisation and any anti-fraud, regulatory or compliance checks reasonably required in connection with the transaction.AesthiSave Spain is not required to dispatch products until cleared payment has been received and any required professional, tax or compliance verification has been completed.Any credit, deferred-payment or alternative payment arrangement must be expressly agreed in writing. 8. AVAILABILITY, PRE-ORDERS AND SPECIAL PROCUREMENTProduct availability is subject to change until the order is accepted.Products identified as In Stock are normally available from current inventory but remain subject to prior sale and final stock verification.Products identified as Pre-Order require replenishment or procurement before dispatch. Any replenishment or estimated availability period is provided in good faith and is an estimate unless expressly guaranteed in writing.Products identified as Out of Stock are not available for immediate supply.Where a product becomes unavailable after an order is placed, AesthiSave Spain may offer the customer the option to:wait for replenishment;amend the order;select an appropriate alternative, subject to the customer's approval; orreceive a refund for the unavailable product.Products specially procured, reserved or ordered specifically at the customer's request may be subject to additional cancellation or return restrictions where this has been communicated before the customer commits to the order.AesthiSave Spain will not substitute a materially different product without the customer's agreement. 9. ORDER CHANGES AND CANCELLATIONRequests to modify or cancel an order should be made as soon as possible.A request is not effective until confirmed by AesthiSave Spain. Once an order has entered preparation, been specially procured, transferred to the carrier or otherwise become irreversible, cancellation or modification may no longer be possible.Where AesthiSave Spain agrees to a customer-requested cancellation, any non-recoverable costs reasonably incurred specifically in connection with that order may be deducted or charged where this was part of the agreed commercial conditions or is otherwise permitted by applicable law.Nothing in this section limits remedies arising where AesthiSave Spain has failed to perform its contractual obligations. 10. SHIPPING AND DELIVERYProducts are dispatched using the delivery service selected or agreed for the transaction.Any dispatch or delivery date is an estimate unless AesthiSave Spain expressly accepts a guaranteed deadline in writing.Customers must provide a complete and accurate delivery address and any information reasonably necessary for delivery.The customer is responsible for ensuring that the person receiving the shipment is authorised to receive it and that the delivery location is appropriate for the products concerned.Where a delivery cannot be completed because of incorrect information supplied by the customer, refusal of delivery, absence of an authorised recipient, failure to collect the shipment or another circumstance attributable to the customer, reasonable additional transport, storage, return or redelivery costs may be charged to the customer.Carrier tracking information does not modify the contractual terms applicable to the transaction.Further operational information is contained in our Shipping & Returns Policy. 11. CUSTOMER-ARRANGED COLLECTION OR TRANSPORTWhere AesthiSave Spain expressly agrees that the customer may collect an order, appoint its own carrier or provide its own shipping label, the customer is responsible for the transport arrangement it has selected, subject always to mandatory law.AesthiSave Spain will take reasonable care in preparing and handing over the shipment.Where transport is organised entirely by the customer, the customer is responsible for ensuring that the chosen carrier and transport conditions are suitable for the products concerned and comply with any applicable storage or transport requirements.Nothing in this section excludes responsibility for loss or damage caused by AesthiSave Spain before proper handover of the goods or any liability that cannot lawfully be excluded. 12. DELIVERY, TITLE AND RISKOwnership of products will not pass to the customer until AesthiSave Spain has received full payment of all amounts due for those products, to the extent permitted by applicable law.Risk in the products will pass in accordance with the applicable law and the agreed delivery arrangement.Where AesthiSave Spain arranges carriage to the agreed destination, responsibility for loss or damage during transport will be determined by the applicable contractual and legal rules and any relevant carrier arrangement.Where the customer independently appoints the carrier or collects the goods using transport not offered or arranged by AesthiSave Spain, risk may pass upon proper handover to the customer or its nominated carrier, to the extent permitted by applicable law.Nothing in these Terms transfers to the customer the risk of loss or damage resulting from AesthiSave Spain's own breach, negligence or failure to package or hand over the products appropriately. 13. INSPECTION, SHORTAGES AND TRANSPORT DAMAGEThe customer must inspect the shipment as soon as reasonably practicable after delivery.Visible external damage should, where possible, be recorded with the carrier at the time of delivery and photographed before the packaging is discarded.The customer should notify AesthiSave Spain without undue delay of any apparent:transport damage;missing product;incorrect product;quantity discrepancy;compromised packaging; orother apparent fulfilment error.AesthiSave Spain may reasonably request photographs of the shipping carton, shipping label, internal packaging, product packaging, seals and lot or serial information in order to investigate a claim.Nothing in these Terms shortens any mandatory statutory period applicable to a claim. 14. RETURNS AND PRODUCT INTEGRITYReturns require prior authorisation from AesthiSave Spain. Products should not be returned without receiving return instructions.The professional and regulated nature of many products supplied by AesthiSave Spain means that product integrity, traceability, storage history, temperature or environmental conditions where applicable, tamper status and chain of custody may need to be established before a returned product can be accepted back into stock.Unless the return results from an error attributable to AesthiSave Spain, a verified defect or another circumstance giving rise to a legal remedy, products may be refused for return where:they have been opened or used;seals or protective packaging have been broken or compromised;labels, serial numbers, lot numbers or other traceability information have been removed or altered;packaging has been materially damaged;required storage or transport conditions cannot be reasonably verified;the product has expired or its remaining shelf life has been materially reduced while under the customer's control;the product was specially procured or reserved under non-cancellable conditions communicated before purchase; oraccepting the return would create a regulatory, safety, authenticity or traceability concern.Acceptance of a return shipment by AesthiSave Spain does not necessarily constitute acceptance of the customer's claim. Returned products may first require inspection.Where AesthiSave Spain supplied an incorrect product, a product was damaged before risk passed to the customer, or a product is otherwise legally non-conforming, the customer's applicable contractual and statutory remedies remain unaffected.Further procedures are set out in our Shipping & Returns Policy. 15. TRACEABILITY, STORAGE AND PRODUCT RECORDSAesthiSave Spain maintains traceability records required by applicable law for products within the scope of those requirements.Depending on the product and transaction, records may include:product trade name and model;UDI or other applicable product identifier;serial or lot/batch number;date of dispatch or supply;identification of the supplying economic operator; andidentification of the professional customer, healthcare institution or other recipient where required.Customers must preserve any records they are legally required to maintain and provide reasonable cooperation where information is required for product traceability, regulatory investigation, vigilance, corrective action, withdrawal or recall.Following delivery, the customer is responsible for maintaining appropriate storage, conservation, handling and onward transport conditions in accordance with the manufacturer's instructions and applicable law.Products must not be used or further supplied after expiry or where their integrity, authenticity or required storage conditions have been compromised. 16. PROFESSIONAL USE AND CLINICAL RESPONSIBILITYProducts intended to be administered, implanted, injected or otherwise applied exclusively by authorised professionals must only be used by persons legally entitled and appropriately qualified to perform the relevant procedure.The treating healthcare professional and/or responsible healthcare establishment retains responsibility for matters within its professional competence, including:patient assessment and selection;determining clinical suitability;obtaining informed consent;treatment planning;administration technique;compliance with professional standards;management of complications and follow-up; andcompliance with local laws governing clinical use.AesthiSave Spain acts as supplier/distributor and does not assume the healthcare professional's independent clinical responsibilities by selling or supplying a product. 17. COMPLAINTS, INCIDENTS, RECALLS AND SAFETY ACTIONSCustomers should promptly notify AesthiSave Spain of suspected:product defects or non-conformities;compromised or falsified products;serious product complaints;suspected incidents associated with a supplied product; orother safety concerns requiring investigation.AesthiSave Spain may request the product name, UDI where applicable, lot or serial number, photographs, relevant documentation and other information reasonably necessary to investigate and fulfil applicable regulatory obligations.Where required, information concerning complaints or suspected incidents may be transmitted to the manufacturer, authorised representative, importer, competent authority or other relevant economic operator.If a manufacturer, AesthiSave Spain or a competent authority initiates a recall, withdrawal, Field Safety Corrective Action or other safety measure, customers must provide reasonable cooperation.This may include identifying affected products, ceasing use or onward distribution, segregating affected stock, providing traceability information, communicating required safety information and returning or disposing of affected products in accordance with authorised instructions.Nothing in these Terms replaces any independent vigilance or incident-reporting obligation imposed directly on a healthcare professional, healthcare establishment or other economic operator. 18. INTERNATIONAL AND NON-EU ORDERSFor shipments outside the European Union, the customer is responsible for establishing before ordering whether the products may lawfully be imported, received, possessed, distributed and used in the destination jurisdiction.Unless expressly agreed otherwise in writing, the customer or designated consignee is responsible for acting as the importer/consignee in the destination country and for obtaining any:import licence;medical or healthcare product authorisation;customs registration;local professional or distribution licence;permit or approval;customs clearance; andother destination-country documentation required for lawful importation.The customer is also responsible for destination-country duties, import taxes, customs charges, brokerage costs and similar charges unless AesthiSave Spain expressly agrees otherwise.AesthiSave Spain may request supporting import or professional documentation before dispatch and may decline a transaction where lawful importation or supply cannot be reasonably established.If a shipment is refused, detained, returned, destroyed or otherwise affected because the customer or consignee has failed to satisfy destination-country import requirements, the customer may be responsible for the resulting reasonable and non-recoverable transport, customs, storage, return or disposal costs, except to the extent the event was caused by AesthiSave Spain's breach. 19. RESALE AND FURTHER DISTRIBUTIONA customer purchasing products for resale or further distribution is responsible for ensuring that it is legally authorised to do so and for complying with the regulatory obligations applicable to its role and territory.Where applicable, this includes obligations concerning storage, traceability, complaints, non-conforming products, vigilance, recalls and cooperation with manufacturers and competent authorities.Products must not be altered, relabelled, repackaged, tampered with or otherwise handled in a manner that compromises their regulatory compliance, authenticity, traceability, integrity or safety.A purchase from AesthiSave Spain does not grant the customer:exclusive distribution rights;an official distributor appointment;territorial exclusivity;authority to represent AesthiSave Spain or a manufacturer; orrights to use trademarks beyond those permitted by law,unless expressly granted under a separate written agreement. 20. LIABILITYNothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.Subject to applicable mandatory law, AesthiSave Spain will not be responsible for loss or damage caused by circumstances attributable to the customer or a third party under the customer's responsibility, including:unauthorised or improper use;use contrary to the manufacturer's Instructions for Use;administration by an unauthorised or insufficiently qualified person;inappropriate storage, handling or onward transportation after risk has passed;use after expiry;alteration or tampering;use contrary to applicable law or professional requirements; orinaccurate information or documentation supplied by the customer.AesthiSave Spain is not responsible for the independent clinical judgement, treatment decisions or professional acts or omissions of healthcare practitioners using products supplied by AesthiSave Spain.To the extent permitted by applicable law, neither party will be liable to the other for purely indirect or consequential commercial loss that was not reasonably foreseeable as a result of the relevant breach.No provision of these Terms shall operate to exclude liability for fraud, wilful misconduct or any other liability that applicable law does not permit the parties to exclude. 21. FORCE MAJEURE AND EVENTS BEYOND REASONABLE CONTROLNeither party will be liable for delay or failure to perform a contractual obligation to the extent that performance is prevented by circumstances beyond its reasonable control, except for obligations that by their nature remain performable, including payment obligations already due.Such circumstances may include natural disasters, fire, epidemic or pandemic restrictions, war, civil disturbance, governmental or regulatory measures, strikes affecting third parties, major transport disruption, customs disruption, carrier interruption, manufacturer shortages, supply-chain interruption or widespread telecommunications or infrastructure failure.The affected party should take reasonable steps to minimise the effect of the event.If the event materially prevents fulfilment for a prolonged period, the parties will seek an appropriate solution, which may include cancellation of the affected unfulfilled portion and reimbursement of amounts paid for products that will not be supplied. 22. COMPLIANCE AND RIGHT TO SUSPEND OR REFUSE SUPPLYAesthiSave Spain may suspend, refuse or cancel supply where reasonably necessary to comply with:applicable law or regulation;instructions or measures of a competent authority;product-specific restrictions;sanctions or trade restrictions;professional eligibility requirements;fraud-prevention obligations;product safety measures; orlegitimate concerns regarding authenticity, diversion, misuse or unlawful distribution.Customers agree to provide information reasonably required for professional verification, tax compliance, traceability, product safety and other lawful compliance purposes.Exercise of this right will not affect any refund properly due for products that AesthiSave Spain ultimately does not supply. 23. DATA PROTECTION AND CONFIDENTIAL INFORMATIONPersonal data processed in connection with customer registration, verification, ordering, payment, invoicing, delivery, traceability, complaints or regulatory compliance will be handled in accordance with AesthiSave Spain's Privacy Policy and applicable data-protection legislation.Where professional or commercial documentation is supplied for verification, AesthiSave Spain will process it for the relevant legitimate purpose and in accordance with applicable data-protection requirements.Any separately agreed confidential commercial terms remain subject to any confidentiality obligations agreed between the parties. 24. CONTRACTUAL HIERARCHY, LANGUAGE AND GENERAL PROVISIONSThese Terms constitute AesthiSave Spain's general conditions of sale.Where a particular transaction is also governed by specifically negotiated written conditions contained in an accepted quotation, pro forma invoice, commercial agreement or other written instrument, those specific conditions will prevail over inconsistent provisions of these general Terms to the extent required by applicable law.No failure or delay by AesthiSave Spain in exercising a contractual right constitutes a waiver of that right.If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent that the contract can legally continue without the affected provision.AesthiSave Spain may amend these Terms for future transactions. The version applicable to a transaction will normally be the version made available to the customer when the relevant contract is concluded, unless mandatory law requires otherwise.These Terms may be made available in several languages for the convenience of international professional customers. The Spanish version is the authoritative version for interpretation purposes, subject always to mandatory applicable law.Nothing in these Terms creates a partnership, agency, franchise, employment relationship or exclusive distribution relationship between AesthiSave Spain and the customer. 25.
